Position Overview The Transaction Manager plays a key strategic role and helps oversee the timely completion of downsize lease amendments and subleases, strategic lease amendments, consents, waivers, and all related documents for the downsize store pipeline, supply chain facilities (distribution centers, pull point locations and warehouses), and office locations, as well as the disposition of surplus properties. The Transaction Manager must have a broad-based skillset spanning the analysis of real estate title and transaction documentation (with an emphasis on retail leases), negotiation of subordination agreements, preparation of lease estoppels, and drafting correspondence to landlords and other parties. The Transaction Manager will assist in and assume a proactive role in resolving disputes with landlords on property management and other operational and lease administration issues. The Transaction Manager must possess sophisticated legal acumen sufficient to analyze legal documents such as leases and reciprocal easement agreements and identify critical points of negotiation such as restrictive covenants that could impede transaction completion. The Transaction Manager may also supervise one or more Legal Specialist in the preparation of reports, consents, waivers, and routine lease amendments. A Day in the Life Transaction Duties: • Review and prepare detailed “business audit” of existing leases prior to letter of intent negotiation in downsize transactions, to clarify existing deal structure and identify strategic deficiencies in the existing lease; recommend business and legal points requiring updating as part of the downsize deal. • Analysis and review of Letters of Intent for downsize and sublease deals in preparation for Asset Management Committee (AMC) and Asset Management Executive Committee (AMEC). Support real estate directors and attorneys in correcting deficiencies prior to AMC and AMEC. Assist the applicable Asset Management Real Estate Director and assigned attorney in obtaining leadership’s acceptance of deal-specific non-standard provisions. • Support outside counsel in transactions; assist in assembling exhibits and background documents. • Draft and negotiate lease amendments, letter agreements and other deal modifications directly with landlords. • Track status of downsize projects, coordinating with Construction partners to document delays and proactively communicate with landlords regarding same. Serve as the lead for the Legal Team’s response to Landlord claims of delayed delivery, and the assessment of liquidated damages. Prepare construction abstracts flagging key construction dates and deadlines. • Oversee and collaborate with team members in other groups providing needed documentation for transactions to ensure correctness and timely completion, including landlord work scope, façade modifications and sign packages. • Collaborate with Attorneys and Legal Specialists to create standardized forms, templates, SOPs and other materials. • Recommend and implement new processes for lease process. Management of Reports and Document Processing: • Request for Legal Documentation Report • Manage, track, and report on the status of all lease amendments, REA-related amendments and other documents, and downsize amendments. • Consent and Waivers: manage intake process and identify when requests must be escalated to an attorney for review. Identify when requests exceed the bounds of a standard consent and require more formal documentation such as a lease amendment. • Purchase and Sale Agreement Disposition Report: track key dates for all surplus property dispositions and regularly report status to stakeholders (Finance, Accounting, Real Estate, Facilities and Legal) You'll Come With • Bachelor’s degree in a related field and a paralegal certificate. • 5-10 years of experience with real estate and title matters, including sales and acquisitions, at a law firm, title insurance company, or an in-house legal team for a retailer, shopping center REIT, or developer. • Advanced understanding of real estate documents and the ability to review and analyze them independently with minimal supervision. • Ability to assess how real estate documents affect the business, identify risks, and determine when waivers, amendments to recorded documents, or other documentation are needed. • Experience with real estate transactions beyond leasing, including coordinating documentation and closing sales and acquisitions. • Strong proficiency in Microsoft Word, Excel, PowerPoint, and Outlook, as well as document management and lease administration systems. #LI-CG1 Come join our team.
